Terms of Use

1. Agreement
These Terms of Use ("Terms") form a binding agreement between you and Zendora ("Zendora", "we", "us"). By creating an account or using the Zendora service (the "Service"), you accept these Terms. If you are using the Service on behalf of an organization, you represent that you are authorized to bind that organization, and "you" includes that organization.
2. Eligibility and account
- You must be at least 18 years old and capable of entering into a contract.
- You must provide accurate registration information and keep it current.
- You are responsible for all activity under your account and for safeguarding your credentials.
3. The Service
Zendora is an AI-assisted sales development platform. Features may include prospect research, AI-generated drafts, multi-step outreach sequences, inbox and reply tracking, analytics, and integrations. We may add, change, or remove features over time. Some features may be offered in beta and provided "as is".
4. Customer Data and license to us
You retain all rights in the data you submit to the Service ("Customer Data"). You grant Zendora a worldwide, non-exclusive, royalty-free license to host, process, transmit, and display Customer Data solely to provide and improve the Service for you, to maintain security, and as otherwise permitted by our Privacy Policy.
You represent and warrant that you have all rights and lawful bases required to provide Customer Data to us and to allow recipients to be contacted through the Service.
5. AI features and outputs
The Service uses third-party AI models (including, for example, models from Google and OpenAI) to generate research summaries, draft emails, reply suggestions, and other content based on prompts and data you provide ("Inputs"). The content the Service produces is "Output". You are responsible for reviewing all Output before using it, especially before sending it to a recipient.
- Output may be inaccurate, incomplete, or biased and should not be treated as professional advice (legal, financial, medical, or otherwise).
- Similar Outputs may be generated for other users; to the extent we have rights in Output, we assign them to you, except for components owned by the underlying model provider or that you do not own in your Inputs.
- You must not use the Service to (i) make solely automated decisions producing legal or similarly significant effects about an individual without human review, (ii) engage in social scoring, biometric categorization, emotion inference in the workplace or education, or other practices prohibited under the EU AI Act, (iii) generate content that impersonates a real person in a misleading way, or (iv) generate deceptive synthetic media without required disclosures.
- Where you use AI-assisted content in regulated communications, you are responsible for any disclosure or labeling required by law.
6. Acceptable use
You agree not to use the Service to:
- Send unsolicited commercial messages in violation of applicable anti-spam laws, including the US CAN-SPAM Act, Canada's CASL, the EU ePrivacy Directive, and the UK PECR. You must include a valid physical postal address and a working unsubscribe mechanism in marketing emails as required.
- Upload personal data you do not have a lawful basis to process, including special categories of data under GDPR (e.g., health, biometric, political opinions) unless we have agreed in writing.
- Harass, defraud, deceive, or harm any person.
- Attempt to reverse engineer, scrape, overload, probe, or interfere with the Service or its security; bypass rate limits; or extract model weights or training data.
- Use the Service to develop a competing product or train a foundation model.
- Violate any applicable law, regulation, or third-party right.
7. Third-party services
The Service may integrate with third-party services (such as Google Workspace, Microsoft 365, OAuth providers, and email infrastructure). Your use of those services is governed by their own terms, and we are not responsible for them.
8. Fees
Paid plans, if applicable, are billed in advance and are non-refundable except where required by law. You authorize us and our payment processor to charge your selected payment method. We may change pricing on prospective renewals with reasonable notice.
9. Term and termination
These Terms apply for as long as you use the Service. You may stop using the Service at any time. We may suspend or terminate your access immediately if you materially breach these Terms, create risk for us or other users, or if required by law. Sections that by their nature should survive termination will survive.
10. Disclaimers
To the maximum extent permitted by law, the Service and all Output are provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or uninterrupted operation. We do not warrant that AI Output will be accurate, complete, lawful, or suitable for your purpose.
11. Limitation of liability
To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, or goodwill. Our aggregate liability arising out of or relating to these Terms will not exceed the greater of (a) the amounts you paid us for the Service in the 12 months before the event giving rise to liability, or (b) USD 100.
Some jurisdictions do not allow exclusion or limitation of certain damages; in those jurisdictions, the above limitations apply to the maximum extent permitted.
12. Indemnification
You will defend, indemnify, and hold Zendora and its affiliates harmless from any claim, demand, or expense (including reasonable attorneys' fees) arising out of (a) your Customer Data, (b) your use of the Service, including Output you send, or (c) your breach of these Terms or applicable law.
13. Governing law and disputes
These Terms are governed by the laws of the State of Delaware, USA, excluding its conflict-of-laws rules. The state and federal courts located in Delaware will have exclusive jurisdiction, except that either party may seek injunctive relief in any court of competent jurisdiction. If you are a consumer resident in the EEA or UK, you also benefit from any mandatory protections of the law of your country of residence.
14. Changes to the Terms
We may update these Terms from time to time. If we make material changes, we will provide notice (e.g., by email or in-product). Continued use of the Service after changes take effect constitutes acceptance.
